Welcome to Actualize Impact. These Terms of Service ("Terms") govern your access to and use of the website located at actualizeimpact.com (the "Website"), and any services, products, tools, or content offered by Actualize Impact LLC ("Actualize Impact," "we," "us," or "our").

By accessing or using our Website or Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Website or Services.


1. Definitions

  • "Services" means all consulting, facilitation, technology development, training, certification programs (including the EDA® Licensed Practitioner Program), AI-powered tools, knowledge products, and any other services or products offered by Actualize Impact.
  • "EDA®" means the Envision Design Actualize methodology, a proprietary facilitation framework owned by Actualize Impact LLC.
  • "User," "you," or "your" means any individual or entity accessing our Website or using our Services.
  • "Content" means all text, graphics, images, software, audio, video, information, and other materials available through our Website or Services.
  • "Licensed Practitioner" means an individual who has completed the EDA® certification program, signed the Practitioner License Agreement, and maintains active certification status.

2. Description of Services

Actualize Impact provides:

2.1 Strategic Facilitation

Neuroscience-informed facilitation services using the EDA® methodology, including coalition building, strategic planning, retreat facilitation, and leadership development.

2.2 Custom Technology Development

Full-stack development, AI/ML integration, and custom software solutions for social impact organizations.

2.3 Knowledge Products and Tools

AI-powered tools including Actualize Funding, Foundation Equity Parser, Equity Decision Tools, and other software products.

2.4 Training and Certification

The EDA® Licensed Practitioner Program and related training offerings.


3. Intellectual Property Rights

3.1 Ownership

All Content, including but not limited to the EDA® methodology, facilitation protocols, assessment instruments, training materials, software, research, and documentation, is the exclusive property of Actualize Impact LLC and is protected by United States and international intellectual property laws.

3.2 Trademarks

"EDA®," "Envision Design Actualize™," "Actualize Impact," and the Actualize Impact logo are trademarks of Actualize Impact LLC. You may not use these marks without prior written permission.

3.3 Restrictions

You may not:

(a) Copy, reproduce, distribute, or create derivative works from any Content without express written authorization

(b) Use EDA® methodology, protocols, or materials to train others without holding appropriate certification and license

(c) Reverse engineer, decompile, or attempt to extract source code from our software products

(d) Remove or alter any copyright, trademark, or other proprietary notices

(e) Use our Content for commercial purposes without a valid license agreement

3.4 User Content

If you submit content to us (including through contact forms, service engagements, or feedback), you grant Actualize Impact a non-exclusive, royalty-free license to use such content for the purpose of providing Services. You retain ownership of your original content.


4. Licensed Practitioner Program Terms

4.1 Certification Requirements

Participation in the EDA® Licensed Practitioner Program requires completion of all curriculum modules, practicum requirements, and successful portfolio assessment. Specific requirements are detailed in the program enrollment materials.

4.2 License Grant

Upon successful certification and execution of the Practitioner License Agreement, Licensed Practitioners receive a limited, non-exclusive, non-transferable license to use EDA® methodology within the scope defined by their certification tier.

4.3 Ongoing Obligations

Licensed Practitioners must:

(a) Maintain active certification through annual recertification requirements

(b) Use approved trademark guidelines in all marketing materials

(c) Not reproduce or distribute proprietary protocols outside of authorized client engagements

(d) Adhere to the Practitioner Code of Ethics

4.4 Termination

Actualize Impact reserves the right to revoke certification and license for material breach of these Terms or the Practitioner License Agreement, unethical conduct, or failure to maintain certification requirements.


5. AI Tools and Software Products

5.1 Acceptable Use

Our AI-powered tools (including Actualize Funding, Foundation Equity Parser, and related products) are provided for their intended purposes. You agree not to:

(a) Use tools to generate content that is illegal, harmful, or violates third-party rights

(b) Attempt to circumvent usage limits or security measures

(c) Use automated means to access our tools beyond approved APIs

(d) Resell or redistribute access without authorization

5.2 AI Output Disclaimer

AI-generated content and analysis are provided for informational purposes. While we strive for accuracy, AI outputs may contain errors and should not be relied upon as legal, financial, or professional advice. You are responsible for reviewing and verifying any AI-generated content before use.

5.3 Data Processing

When using our AI tools, data you input may be processed by third-party AI services (such as Anthropic's Claude). Please review our Privacy Policy for details on data handling.


6. Consulting and Facilitation Services

6.1 Engagement Terms

Consulting and facilitation engagements are governed by separate Statements of Work or engagement agreements that specify scope, deliverables, timeline, and fees. These Terms apply in addition to any engagement-specific agreements.

6.2 Client Responsibilities

Clients are responsible for providing accurate information, securing necessary participant attendance, and creating appropriate conditions for facilitation work. Session outcomes depend on participant engagement and cannot be guaranteed.

6.3 Confidentiality

We maintain confidentiality of client information and session content. With client permission, we may use anonymized case studies and aggregated outcomes for research and marketing purposes.


7. Payment Terms

7.1 Fees

Service fees are specified in engagement agreements, program enrollment materials, or product pricing pages. All fees are in U.S. dollars unless otherwise stated.

7.2 Payment

Payment terms are specified in individual agreements. Late payments may be subject to interest at 1.5% per month or the maximum rate permitted by law.

7.3 Refunds

Refund policies vary by service type and are specified in engagement agreements or program materials. Generally, deposits for facilitation services are non-refundable within 14 days of scheduled engagement.


8. Disclaimers

8.1 No Guaranteed Outcomes

While our methodology is research-informed and has demonstrated strong outcomes, we cannot guarantee specific results. Transformation depends on numerous factors including participant engagement, organizational context, and implementation follow-through.

8.2 Not Professional Advice

Our Services do not constitute legal, financial, medical, or other professional advice. Consult appropriate professionals for advice specific to your situation.

8.3 "As Is" Provision

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACTUALIZE IMPACT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR WEBSITE OR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.


10. Indemnification

You agree to indemnify, defend, and hold harmless Actualize Impact LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our Services, your violation of these Terms, or your infringement of any third-party rights.


11. General Provisions

11.1 Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles.

11.2 Dispute Resolution

Any disputes arising from these Terms shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Columbus, Ohio, under the rules of the American Arbitration Association.

11.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in effect.

11.4 Entire Agreement

These Terms, together with our Privacy Policy and any applicable engagement agreements, constitute the entire agreement between you and Actualize Impact regarding your use of our Website and Services.

11.5 Modifications

We reserve the right to modify these Terms at any time. Material changes will be posted on our Website with an updated "Last Updated" date. Continued use of our Website or Services after changes constitutes acceptance of the modified Terms.

11.6 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

11.7 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
